1. Agreement
These Terms of Service (“Terms”) govern your access to and use of the website and online services operated by WEB3DS at web3ds.de (“Site”) and any marketing demos, contact channels, or documentation we make available there (collectively, the “Services”). By using the Services, you agree to these Terms. If you do not agree, do not use the Services.
Separate agreements (such as an order form, licence, or data‑processing agreement) govern commercial deployment of WEB3DS software on your infrastructure; where those documents conflict with these Terms regarding that subject matter, the separate agreement controls.
2. Eligibility
You represent that you are at least 18 years old and have authority to bind your organisation if you act on its behalf. The Services are intended for institutional and professional users, not for retail consumers seeking personal tax filing advice.
3. The Services
The Site provides information about WEB3DS products, including on‑premise ETL, dashboards, and reporting workflows for DeFi and crypto tax clarity. Unless we state otherwise, content is for general information only. We may change, suspend, or discontinue any part of the Services at any time.
4. No financial, legal, or tax advice
Nothing on the Site constitutes financial, investment, accounting, legal, or tax advice. You remain solely responsible for compliance with applicable laws (including tax and reporting regimes such as MiCA, DAC8, or local equivalents) and for decisions made using any WEB3DS tooling.
5. Acceptable use
You agree not to:
- Violate applicable law or third‑party rights;
- Attempt to gain unauthorised access to our systems, other users, or connected networks;
- Use the Services to transmit malware, harvest credentials, or disrupt infrastructure;
- Scrape, overload, or reverse engineer the Site in a manner that harms availability or security, except as permitted by law.
6. Intellectual property
WEB3DS and its licensors own all rights in the Site, trademarks, logos, documentation, and underlying software (excluding your pre‑existing materials). No licence is granted except as expressly stated in a separate written agreement.
7. Confidentiality and feedback
If we share non‑public information with you under a separate NDA or order, you must protect it accordingly. If you provide suggestions or feedback, you grant us a perpetual, royalty‑free licence to use it to improve our products without obligation to you, unless otherwise agreed in writing.
8. Disclaimer of warranties
The Services are provided “as is” and “as available” to the fullest extent permitted by law. We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non‑infringement, except where such disclaimers are not legally permitted.
9. Limitation of liability
To the maximum extent permitted by law, WEB3DS and its officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill, arising from or related to the Services. Our aggregate liability for claims arising from the Site and non‑commercial use in any twelve‑month period is limited to EUR 100, unless mandatory law provides otherwise. Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or other liabilities that cannot be excluded under applicable law.
10. Indemnity
You will defend and indemnify WEB3DS against third‑party claims, damages, and costs (including reasonable attorneys’ fees) arising from your misuse of the Services, your breach of these Terms, or your violation of law.
11. Governing law and disputes
These Terms are governed by the laws of the Federal Republic of Germany, without regard to conflict‑of‑law rules. Courts in Germany shall have exclusive jurisdiction for disputes arising from these Terms or the Site, subject to mandatory consumer protections if applicable. We encourage you to contact support@web3ds.de before escalating a dispute.
12. General
If any provision is invalid, the remainder remains in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger or sale. These Terms constitute the entire agreement regarding the Site and supersede prior oral or written understandings on that subject.
